​TERMS & CONDITIONS
The Virtual Assistant (VA) agrees to provide services as outlined in the Scope of Service agreed upon by both parties. Services may include administrative support, communication management, research, project coordination, and other agreed tasks.

The Client agrees to pay the VA at the agreed rate (hourly, per project, or retainer). Payments are due within 14 days of invoice receipt unless otherwise stated. Late payments may incur a fee of 10% per month on the outstanding balance. Any additional services outside the original scope will be billed separately after approval.

The VA agrees to maintain confidentiality of all Client information and data. The VA will not disclose or use any confidential information for any purpose other than to perform the agreed services. This obligation remains in effect even after termination of services.

All work products created by the VA in the course of providing services shall be the property of the Client upon full payment. The VA retains no rights to use the work product unless granted permission by the Client.

The agreement begins on the start date agreed upon and continues until terminated by either party with 30 days’ written notice. Either party may terminate immediately if there is a breach of terms, misconduct, or failure to perform duties.

The VA shall not be held liable for any indirect, incidental, or consequential damages arising from the services provided. The Client agrees to indemnify and hold the VA harmless from any claims resulting from the use of services.

The VA is an independent contractor and is not an employee, partner, or agent of the Client. The VA is responsible for their own taxes, insurance, and other statutory obligations.

Both parties agree to maintain clear and timely communication. The Client will provide necessary information and materials to facilitate service delivery.

These Terms and Conditions shall be governed by and construed in accordance with the laws of Newfoundland Canada, without regard to its conflict of law principles. You agree that any dispute, claim, or controversy arising out of or in connection with these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively in the courts located within Newfoundland, Canada.

By using our services, you consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or lack of jurisdiction.
